By purchasing the access to AMIPLEXUS your organization (hereinafter: PURCHASING PARTY) comes in an agreement with:

1. PURPOSE OF THIS AGREEMENT
PURCHASING PARTY is willing to access the AMIPLEXUS visualization network for 1 year from the date of purchase.
2. OBLIGATIONS AND RIGHTS OF PURCHASING PARTY
PURCHASING PARTY will use a provided login for any human access to AMIPLEXUS for search of information and visualization of cooperation networks. The purchasing party is free to use all the received information for their potential use. In case a print screen from AMIPLEXUS will be used in publicly available materials (presentations, publications, patents, proposals or projects) a short statement should acknowledge the use of AMIPLEXUS (e.g. Visualized by AMIPLEXUS).
PURCHASING PARTY will be provided with an access associated to one unique email address, which needs to be validated by Google, GitHub or Shinyapps. Any communication with AMIRES will be performed via this identifiable email address. PURCHASING PARTY will not engage any automated machines (e.g. bots) to access AMIPLEXUS. PURCHASING PARTY agrees that it will not attempt to decipher, decompile, disassemble or reverse engineer any of the software provided by AMIRES. The PURCHASING PARTY agrees not to interfere with, or attempt to interfere with AMIPLEXUS or the access of any other user, host or network, including, without limitation, sending a virus or other malicious code, overloading, flooding, or spamming AMIPLEXUS; or plant malware on AMIRES’s or third party computer systems.
3. FEES
The fees for an access to AMIPLEXUS are set as Software as a Service (SaaS), per hours of AMIPLEXUS use per week, which is the only determinant for the subscription model. The fees are annual and non-refundable. The subscription fee will be directly charged via the purchase e-shop platform or invoiced via email-delivered electronic version invoice. The user agrees to use AMIPLEXUS within the monthly-allocated time limits. In case the monthly limit will be exceeded, a user will be charged for the difference between the various subscription models (or additional GOLD subscription will be charged to existing GOLD subscribers, which exceeded their subscription model).
4. WARRANTIES AND LIABILITIES
AMIPLEXUS will be updated regularly, at least once every year. New functionalities will be introduced without prior notice and the guidelines document will be adapted accordingly. For the improvement of the application a traffic activity may be monitored and PURCHASING PARTY provides informed consent to AMIRES to process any of the collected or entered information.
AMIPLEXUS is in a testing phase and any potential deficiencies or bugs will be replaced by AMIRES in the shortest possible timeframe, however, AMIRES declines any responsibility over the functionality of the software or hardware used for application hosting and execution. AMIRES provides all content and information “AS-IS” and without warranty. PURCHASING PARTY access to and use of AMIPLEXUS is at its own risk. AMIRES disclaims all liability for and is not responsible for any harm that results from PURCHASING PARTY access to or use of AMIPLEXUS. AMIRES makes no warranty that AMIPLEXUS will meet requirements of PURCHASING PARTY or will be available on an uninterrupted, timely, secure or error-free basis or that the results that may be obtained from the use of AMIPLEXUS will be accurate or reliable or that errors in AMIPLEXUS will be corrected. PURCHASING PARTY will not initiate or participate in any legal disputes due to the functionality and results provided by AMIPLEXUS.
5. DURATION
The agreement is valid from the date of purchase until the end of the subscription, i.e. 1 year from the date of purchase. The contract will not be automatically renewed.
6. LAW AND DISPUTES
Any changes of this agreement have to be in the written form. This agreement is governed by the Czech law. The forum for any dispute in relation to all contracts is set exclusively in Prague, Czech Republic.
